Beneficial Ownership Information Reporting 

A new reporting requirement is on the horizon, and it’s crucial for you to be informed. Starting January 1, 2024, a substantial number of small businesses, totaling in the tens of millions, will be mandated to submit a beneficial ownership information (“BOI”) report. This report is destined for the Financial Crimes Enforcement Network (commonly known as FinCEN), a branch of the U.S. Department of Treasury. A failure to comply can result in a company and the individuals responsible for the non-compliance being subject to hefty civil and criminal fines and even possible jail time.

 Between January 1, 2024, and January 1, 2025, your BOI report must be filed. You will have an entire year from the effective date, which starts on January 1st next year. For reporting companies formed on or after January 1, 2024, the filing window is condensed to 30 days from the receipt of actual or public notice of their formation. The submission of your company’s BOI report will be made electronically through a designated filing system hosted on FinCEN’s official website.

Reach Out

Everything starts with reaching out to our team and discussing your needs. These will be very different for business in different phases. Are you looking help with forming a new business? Do you need to change your designation from an LLC to an S Corp? Maybe you’re looking for someone to operate as a general counsel. Discovery

Based on your needs, we’ll get to work learning as much about your business as possible. If there are tax considerations, we’ll need to get our hands on past fillings and business documents. If we’re taking an in-house role, we’ll need your PL statements and any other financial or legal documents you have. Once this is sorted, we can get to work cleaning things up.

While working with the IRS can seem intimidating, it’s something we do every day. Our job is to present your case to tax agencies and advocate for the best possible outcomes for your business. Sometimes that entails negotiated settlements, reduced exposure or not having to pay anything at all.

The important part is, at this stage, you can stand back and let us do the hard part.
